Terms of Service
Effective Date: September 20, 2026Effective date: 19 September 2026
Summary of the terms that most affect you
This summary is not part of the Agreement and does not replace it. It is here because four terms below decide what happens to real money, and they should not be discoveries.
- Your card is charged when you confirm your technician has arrived — not when the work is finished. Section 6.
- After your technician marks a job finished, you have 48 hours to accept or reject the work. If you do nothing, the work is treated as accepted, and no refund is available through KarKar after that. Section 7.
- If you reject the work, a KarKar employee decides the outcome, and there are only two possible outcomes: the technician is paid in full, or you are refunded in full. KarKar is not a neutral arbitrator. Section 16.
- KarKar does not perform repairs, does not verify a technician's skill, licensing or insurance, runs no background checks, and does not guarantee the work. KarKar is a mediator: it holds your money and does not release it to the technician until the work is confirmed — but if you say nothing for 48 hours, the work is confirmed for you. Sections 3, 4.4, 7 and 19.
- KarKar publishes a standard 12-month / 12,000-mile workmanship warranty, and a technician may opt in to it. Where a technician has opted in, the warranty is the technician's promise, shown to you by KarKar — it is not a KarKar guarantee. Section 3.6.
1. Who this agreement is between, and what it covers
1.1 This Terms of Service Agreement (this "Agreement") is entered into by and between you ("User", "you") and KarKar Ops LLC, a Delaware limited liability company registered in California, located at 8 The Green STE B, Dover, Kent County, DE 19901, United States ("KarKar Ops", "KarKar", "Company", "we", "our", "us").
1.2 KarKar Ops LLC operates the KarKar platform (the "Platform"). Intellectual property, including but not limited to software, trademarks, patents, copyrights and mascots, is owned by KarKar IP LLC, a Delaware limited liability company ("KarKar IP"). All operational obligations, payments, subscriptions, disputes and enforcement under this Agreement are undertaken solely by KarKar Ops LLC.
1.3 Who is a User. This Agreement applies to everyone who uses the Platform. Where a term applies only to one kind of User, it says so.
- A "Client" is a person who books a service through the Platform.
- A "Technician" (also called a Mechanic or, in the Platform's own records, a service provider) is an independent contractor who performs services booked through the Platform.
1.4 Documents that form part of this Agreement. The following are incorporated into this Agreement by reference and form part of it:
- the Privacy Policy, at https://kar-kar.com/page/privacy-policy;
- the Refund and Cancellation Policy, at https://kar-kar.com/page/refund-and-cancellation-policy;
- the SMS Terms, at https://kar-kar.com/page/sms-terms; and
- for Technicians only, the KarKar Technician Agreement, at https://kar-kar.com/page/technician-agreement.
1.5 The Technician Agreement. If you use the Platform as a Technician, you are bound by both this Agreement and the Technician Agreement. The Technician Agreement contains obligations that apply only to Technicians — insurance, licensing, workmanship, responsibility for damage to a Client's vehicle, payout terms, recovery of money already paid to you, and confidentiality. You may not accept jobs on the Platform without accepting the Technician Agreement.
1.6 Which document wins. Where this Agreement and the Technician Agreement conflict on a matter the Technician Agreement covers, the Technician Agreement governs, as between KarKar and that Technician. Where this Agreement and the Refund and Cancellation Policy conflict on payments, refunds or cancellations, the Refund and Cancellation Policy governs. In all other cases this Agreement governs. Nothing in the Technician Agreement gives a Technician any right against a Client, and nothing in it reduces a Client's rights under this Agreement.
1.7 Acceptance. By accessing or using the Platform, you agree to be bound by this Agreement. If you do not agree, you may not use the Platform.
2. Age restriction
The Platform is intended only for individuals who are eighteen (18) years of age or older. By creating an account or using the Platform, you represent and warrant that you are at least 18 years old. Users under 18 are strictly prohibited from accessing or using the Platform.
3. What KarKar is, and what it is not
3.1 KarKar is a technology marketplace connecting Clients with independent Technicians. KarKar does not itself provide repair, maintenance, diagnostic, locksmith or roadside services.
3.2 All services are performed solely by Technicians, who are independent contractors — not employees, partners, agents or joint venturers of KarKar.
3.3 The contract for the repair itself is between the Client and the Technician. KarKar is not a party to it. KarKar's role is to introduce the parties, to provide the software they use to agree scope and price and to communicate, to take and hold the Client's payment, and to pay the Technician afterwards.
3.4 KarKar does not select the Technician for you, does not supervise how the work is done, does not set the price of a job, and does not inspect the work.
3.5 What KarKar is: a mediator, and exactly what it assures each side. KarKar's role is to help a Client and a Technician reach agreement and to hold the money in between. Within that role, KarKar gives two assurances and no others — and paragraph (c) explains why the standard warranty in 3.6 is not a third one:
(a) To the Technician — before the appointment, KarKar places an authorisation hold on the Client's card for the full quoted amount, so that the Technician knows the funds are confirmed to be available before travelling to the job.
(b) To the Client — the money KarKar takes is not released to the Technician until the work is confirmed. Confirmation happens in one of three ways: the Client accepts the work; the Client says nothing for 48 hours after the Technician marks the job finished, in which case the work is treated as accepted and the money is released to the Technician; or KarKar resolves a rejected job in the Technician's favour under section 16. The 48-hour route is set out in full at section 7 and it is stated here because, without it, assurance (b) would be misleading: silence releases the money just as acceptance does.
(c) The standard warranty in 3.6 is not a third assurance. It is the Technician's promise. KarKar's part in it is to publish the standard, to record which Technicians have opted in, to investigate a complaint that one of them did not honour it, and to recover from that Technician where it upholds the complaint. KarKar does not promise the outcome of that process and does not pay warranty claims from its own funds.
3.6 The standard workmanship warranty, and whose promise it is. There is no KarKar workmanship guarantee, no KarKar service guarantee, and no KarKar warranty of any Technician's work.
(a) KarKar publishes a standard workmanship warranty — 12 months or 12,000 miles from completion, whichever comes first — set out in Schedule 1 to the Technician Agreement and identified by version number.
(b) A Technician opts in to it. Where a Technician has opted in, that Technician owes the warranty on the work they perform, KarKar records which version they accepted and when, and KarKar displays a badge on their public profile saying so. The badge states the Technician's warranty. It is not KarKar's warranty and must not be read as one.
(c) Where a Technician has not opted in, no warranty is offered through the Platform for their work.
(d) How a Client uses it. A Client who says a Technician has not honoured the warranty complains to KarKar support. Support investigates and, where it concludes the Technician did not honour it, refunds the Client and recovers that money from the Technician under clause 8 of the Technician Agreement. KarKar does not pay warranty claims out of its own funds, and does not promise any outcome. A Client remains outside the Technician Agreement and cannot enforce it (section 24.8).
4. Accounts and registration
4.1 You must be at least 18 years old and capable of forming a binding contract.
4.2 You must provide accurate, complete and up-to-date information, and keep it current. You are responsible for everything done through your account.
4.3 Signing in with Google. You may create an account or sign in using Google, in addition to an email address and password. Where a Google account provides an email address that already belongs to a KarKar account, the two are linked and access is granted to the existing account. You are responsible for maintaining the security of any third-party account used to access KarKar: anyone able to access your Google account may be able to access your KarKar account.
4.4 Technician credentials, and what KarKar does and does not check.
(a) Technicians must hold every licence, permit, registration and certification required by law for the services they perform, in every place they perform them, and must keep them current. KarKar may require a Technician to provide evidence of them at any time, and may suspend or remove a Technician who does not provide it.
(b) All Technicians must complete identity and payment verification through Stripe before they can be paid. That verification is Stripe's process for confirming who a person is and where to send their money.
(c) KarKar does not independently verify a Technician's skill, training, licensing, insurance or criminal history, and does not warrant any of them. Any badge, rating, label or statistic shown on a Technician's profile is not a representation by KarKar that the Technician holds any particular qualification, carries any particular insurance, or has passed any particular check.
(c)(i) Stated without hedging, because it is the whole of the position. The only check any Technician passes is the Stripe verification in (b). KarKar collects no licence, certification or registration, stores none, and checks none. KarKar runs no criminal-history or driving-record background checks, and never has. KarKar keeps no list of which credentials a given service requires. What KarKar holds about a Technician's verification is: their Stripe account identifier, whether that account may accept charges and receive payouts, and whether and when Stripe's verification completed.
(d) Insurance — required of the Technician, not checked by KarKar. Technicians are obliged under the Technician Agreement to carry commercial insurance appropriate to the work they perform, and each Technician represents that they hold it. KarKar does not state what that insurance must cover or to what limit, and does not collect or verify a certificate of insurance when a Technician joins. KarKar expressly reserves the right to require proof at any time, and a Technician must produce it within 10 days. A Client should not assume that KarKar has seen any Technician's insurance, or knows what it covers, because it has not and does not. See Technician Agreement clause 3.
4.5 KarKar may refuse, suspend or close any account under section 22.
5. Booking a service
5.1 How a booking is made. A booking begins either when a Client sends a request to a Technician and the Technician responds with a priced offer, or when a Technician sends a Client a checkout link containing a priced offer. In both cases the booking is formed when the Client accepts the offer.
5.2 Offers expire. An offer sent to a Client expires after seven (7) days, or when the appointment time passes, whichever is sooner. A checkout link sent by a Technician expires after 72 hours, or when the appointment time passes, whichever is sooner. A request that a Technician never responds to expires after 120 hours.
5.3 Changing the scope or price during a job. A Technician may send a Client a revised offer while a job is under way. The Client may accept it, reject it, or do nothing. If the Client does not respond within 24 hours, the revised offer lapses and the job continues at the original scope and price. Section 6.4 explains what happens to the money if the Client accepts.
5.4 Rescheduling. A Technician may propose a new appointment date. Doing so returns the booking to a state in which the Client must accept the new date.
6. When Clients are charged
This section describes what actually happens to a Client's card and when. Read it before you book.
6.1 When you accept an offer, nothing is charged. KarKar securely saves your payment card for later use. No money moves.
6.2 About 48 hours before the appointment, KarKar places a hold. KarKar places an authorisation hold on your card for 100% of the quoted total. A hold is not a charge — your bank reserves the money, but it has not been taken. If your appointment is less than 48 hours away when you book, the hold is placed shortly after you book.
If the hold fails, KarKar will tell you and you can update your payment method. If a hold has not succeeded by 24 hours before the appointment, the booking is cancelled automatically and you are charged nothing.
6.3 When you confirm your Technician has arrived, KarKar takes the money — and that same moment starts the job. When you confirm in the Platform that your Technician has arrived, KarKar charges the full held amount to your card. The money leaves your account at that moment and is held by KarKar. It is not paid to the Technician at that point. In the Platform there is no separate "work has started" step: your confirmation is what takes the money and what starts the job, in one action.
If you never confirm arrival, KarKar takes nothing: the booking closes automatically 24 hours after the appointment start time and the hold is released. A Technician who attended and worked is not paid in that case and has no way to claim the money — Technician Agreement 7.2 says so to them in the same terms.
6.4 If the price changes during the job. Where a Technician sends a revised offer and the Client accepts it:
- if the price has gone down, KarKar refunds the difference to the Client's card straight away;
- if the price has gone up, KarKar charges the difference to the Client's card straight away.
6.5 KarKar holds the money, and does not release it to the Technician until the work is confirmed. From the moment of charge until the job closes, the money is held by KarKar. A job closes when the Client accepts the work, or 48 hours after the Technician marks it finished if the Client says nothing — in which case the work is treated as accepted and the money is released to the Technician anyway (section 7) — or when KarKar resolves a rejected job in the Technician's favour (section 16). Section 9 explains when the Technician is then paid. The Refund and Cancellation Policy explains every way the money can come back to the Client.
7. Reviewing completed work — the 48-hour window
THIS IS THE MOST IMPORTANT TERM IN THIS AGREEMENT FOR A CLIENT. READ IT.
7.1 When a Technician marks a job finished, the Client is notified and has 48 hours to accept or reject the work through the Platform.
7.2 IF THE CLIENT DOES NOTHING FOR 48 HOURS, THE WORK IS TREATED AS ACCEPTED. The job closes in the Technician's favour, and the Client can no longer reject the work or obtain a refund through KarKar. This is final within the Platform: once a job has closed on this basis, KarKar's own systems provide no route by which the money can be returned to the Client, whether by the Client, by KarKar support, or by a KarKar administrator.
7.3 KarKar notifies the Client that the review period has started, and again after 24 hours.
7.4 If the Client accepts the work within the window, the job closes immediately.
7.5 If the Client rejects the work within the window, the job goes to KarKar support under section 16.
7.6 Nothing in this section affects any right a Client has directly against the Technician, or any right that cannot be waived by agreement under applicable law.
8. Refunds and cancellations
8.1 The Refund and Cancellation Policy at https://kar-kar.com/page/refund-and-cancellation-policy forms part of this Agreement and explains when you are charged, when you can cancel, and when you get your money back. Where this Agreement and that policy disagree about payments, refunds or cancellations, that policy governs.
8.2 In summary, and without limiting that policy:
(a) Full refunds of money already taken. A Client is refunded in full where:(i) the Technician cancels after the job has started;(ii) the job is abandoned and closes automatically after 90 days;(iii) a booking expires from a state in which money had already been captured;(iv) KarKar support resolves a rejected job in the Client's favour; or(v) a KarKar administrator forces a refund.
A refund is for the full amount that was taken. KarKar does not deduct its payment-processing cost from a refund, in any of these cases. See Refund and Cancellation Policy 9.4.
(b) Partial refunds. A Client receives a partial refund only where a Technician lowers the price during a job and the Client accepts the revised offer, or where KarKar refunds a specified amount through its internal tools. There is no other partial-refund path, and there is no partial outcome in the dispute process (section 16).
(c) Released holds, which are not refunds. Where no money has yet been taken, a hold is released and nothing is refunded because nothing was charged. This happens where: the Client withdraws before the appointment; the Client reports that the Technician did not arrive or that the wrong person arrived; the Client never confirms arrival and the booking expires; or the Technician cancels before work has started. A released hold may take several days to disappear from a Client's statement, on the bank's own timing.
(d) There is no way for a Client to request a refund inside the Platform. Rejecting finished work under section 7 is a request for a KarKar employee to decide, not a refund request.
(e) Once a job has closed under section 7.2, no refund is available through KarKar.
8.3 Cancellation is free in both directions. At every point where cancellation is available, it is free: there is no cancellation fee and no late-cancellation charge for a Client, and no penalty for a Technician who cancels, however late. KarKar may introduce cancellation fees or technician cancellation penalties in the future. If it does, it will give notice under section 23.2 before they take effect, and this Agreement and the Refund and Cancellation Policy will say what they are, in which direction they run, in what window they apply, and who receives them. Nothing of the kind applies today.
8.4 Between the moment the hold is placed (about 48 hours before the appointment) and the appointment itself, the Platform does not offer a Client a cancel button. A Client who needs to cancel in that window must contact KarKar at info@kar-kar.com.
9. Payments, platform fees and payouts
9.1 Payment flows through KarKar. Clients pay for services through the Platform. KarKar receives the payment, holds it, and pays the Technician their share afterwards through Stripe. Clients do not pay Technicians directly, and Technicians must not accept payment directly (see section 10).
9.2 Platform fee. KarKar deducts a commission from the total of each job. The rate depends on the Technician's revenue over the previous 30 days:
- $0.00 to $4,999.99 — 30%
- $5,000.00 to $9,999.99 — 25%
- $10,000.00 or more — 20%
The bands are exact and do not overlap. A Technician with revenue of exactly $5,000.00 pays 25%. A Technician with revenue of exactly $10,000.00 pays 20%.
9.3 How revenue is measured. Revenue means payments captured on that Technician's successfully closed jobs in the previous 30 days, less any refunds in the same period, and is never treated as less than zero. KarKar recalculates it every hour. If a Technician's revenue falls, their rate rises accordingly.
9.4 When the rate is fixed for a job. A Technician's rate is fixed at the moment the Client's card is authorised for that job — about 48 hours before the appointment — and does not change for that job, whatever happens to the Technician's revenue afterwards.
9.5 Different rates by agreement. KarKar may agree a different commission rate with an individual Technician, including a promotional, negotiated, reduced or zero rate. Where KarKar does, that rate applies to that Technician instead of the table in 9.2 until KarKar gives notice of a change. KarKar will give a Technician 30 days' written notice before changing an agreed rate.
9.6 Referral commission. Where a Client reaches the Platform through a Technician's referral code, KarKar applies a reduced commission of 10% to that Client's jobs with that Technician, for one year from the referral. Where a Technician also has an agreed rate under 9.5, whichever rate is lower applies. KarKar may agree a different referral rate with an individual Technician, and may vary the rate on an individual referral; where it does, the rate it tells that Technician applies instead. Technician Agreement clause 7.7 states the same rate.
9.7 Changes to the fee schedule. KarKar may change the rates in 9.2 on 30 days' written notice. A change does not affect a job whose payment has already been authorised.
9.8 Payout timing. KarKar holds a Technician's share for 7 days after the job closes, and then transfers it to the Technician's connected Stripe account. The 7 days is a fixed period, not a minimum. The only circumstances in which KarKar holds a payout longer are those in 9.9, and it will tell the Technician which one applies.
A job "closes" when the Client accepts the work, or 48 hours after the Technician marks it finished if the Client says nothing, or when KarKar support resolves a rejected job in the Technician's favour.
Because the 48-hour review window runs before the 7-day hold begins, a Technician whose Client says nothing is paid approximately 9 days after finishing the work, not 7. Nothing in this Agreement should be read as a promise to pay 7 days after the work is completed.
9.9 Withholding. KarKar may delay, withhold or cancel a payment that has not yet been made where it reasonably suspects fraud, where a chargeback has been raised or is likely, where a dispute or damage claim is open, or where the Technician is in breach of the Technician Agreement. KarKar will tell the Technician why.
9.10 Recovery of money already paid. Where KarKar has already paid a Technician and the money is later charged back by the Client's bank, or must otherwise be returned to the Client — including where KarKar refunds a Client because the Technician caused damage or did not honour the standard warranty in 3.6 — the Technician owes KarKar that amount. KarKar may record it as a debt and set it off against future payouts, may reverse the Stripe transfer where a balance remains, and may invoice for it. A Technician's connected Stripe account is configured so that a negative balance may be debited from their own bank account. The full mechanism, and the limits on it, are in clause 8 of the Technician Agreement.
9.11 Reduced payouts after a refund. Where a job is refunded to the Client in whole or in part, the Technician's share and KarKar's commission are both reduced in the same proportion. Where the refund is total, the Technician is paid nothing.
9.12 Subscriptions. KarKar may offer subscription plans for Technicians.
10. Non-circumvention
Preserved substantially as published, because it is the strongest protection KarKar currently has. The Technician Agreement, clause 10, expands it.
10.1 Technicians are prohibited from soliciting or accepting payments outside the Platform from Clients introduced through KarKar.
10.2 Any attempt to bypass KarKar, including cash payments or private transfers, is a material breach of this Agreement and may result in account termination, forfeiture of funds and legal action.
10.3 Clients are asked not to pay a Technician outside the Platform. A Client who does so loses the protection of KarKar's payment holding, the review window in section 7, and the dispute process in section 16, and KarKar has no ability to help with that transaction.
11. Communications, chat and monitoring
11.1 The Platform provides a chat between Client and Technician. Use it for everything to do with the job: it is the record both sides and KarKar rely on if there is a dispute.
11.2 Automated screening. Every message sent through the Platform's chat is automatically scanned by software for telephone numbers, email addresses, other contact details, links, and language indicating an attempt to move the transaction off the Platform or to pay in cash. Free-text fields on service offers are scanned in the same way. Where a match is found, it is recorded against the message and the conversation is flagged. Repeated matches from the same person escalate for review. KarKar staff can read messages that have been flagged. Section 4 of the Privacy Policy explains this in full.
11.3 Service standards. Clients contract directly with Technicians for services. KarKar does not warrant or guarantee the quality, safety or legality of services. Clients and Technicians are responsible for their interactions with each other.
11.4 SMS and text messaging. By providing your mobile phone number and agreeing at the point of collection, you consent to receive transactional SMS text messages from KarKar related to your account and services — including service status updates (offer sent, payment received, technician en route, arrived, or service completed), appointment confirmations and reminders, account notifications, and one-time verification passcodes (OTP). KarKar operates two separate SMS programs: service (transactional) messages and marketing or promotional messages, including special offers, discounts, promotions and vehicle maintenance reminders. Each program requires its own separate consent, and opting in to one does not enroll you in the other.
Message frequency varies based on your activity. Message and data rates may apply. Reply STOP to any message to unsubscribe at any time, or HELP for assistance. Consent to either program is separate and independent, and consent to either is not a condition of purchasing any goods or services.
Mobile carriers are not liable for delayed or undelivered messages. Your mobile information is handled in accordance with our Privacy Policy; no mobile information is shared with third parties or affiliates for marketing or promotional purposes.
These SMS/text notifications may be sent on behalf of the KarKar platform by KarKar IP LLC, a Delaware affiliate of KarKar Ops LLC under their common parent, KarKar Holding Inc.
12. Prohibited uses
You may not use the Platform for unlawful purposes, fraud, harassment, or interference with its operation. You may not:
- impersonate anyone, or misrepresent your identity, qualifications or insurance;
- use the Platform to arrange a transaction that is then completed off the Platform (section 10);
- scrape, copy or resell Platform content or data;
- interfere with, disable or attempt to gain unauthorised access to the Platform or another User's account;
- post content that is unlawful, defamatory, or infringes anyone's rights;
- submit a review that is false, or that you were paid to write.
13. Intellectual property
KarKar IP LLC retains ownership of all Platform intellectual property. Users receive a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose while their account is in good standing.
14. User content and licence
14.1 By uploading or submitting any content (photos, videos, vehicle images, text, reviews, or profile materials), you retain ownership but grant KarKar Ops LLC and KarKar IP LLC a worldwide, perpetual, irrevocable, royalty-free, transferable and sublicensable licence to use, reproduce, adapt and display such content for the operation, promotion and improvement of the Platform.
14.2 You warrant that you own or are licensed to grant rights in everything you upload.
14.3 KarKar may remove or disable content that violates the law or this Agreement.
15. Taxes and reporting
15.1 Technicians are solely responsible for all taxes on their Platform earnings, including federal, state and local income tax and self-employment tax. KarKar does not withhold tax from payouts.
15.2 Tax identity is collected by Stripe, not by KarKar. Technicians are paid through Stripe Express connected accounts. Stripe collects the Technician's legal name and taxpayer identification number during its own onboarding, holds them, and files the information return required by law for the payments it settles. KarKar does not collect a Form W-9, does not hold a Technician's taxpayer identification number, and does not issue tax forms. Technicians must keep their tax details current with Stripe; where Stripe restricts an account because they have not, KarKar cannot pay them.
15.3 Where KarKar is required by law to withhold from a payment, it will do so and will say why.
16. Disputes about a job
This section is about a Client who is not satisfied with work a Technician has performed. Section 17 is about a dispute between you and KarKar. The process in this section is not arbitration and is not a substitute for it.
16.1 Rejecting the work. When a Technician marks a job finished, the Client has 48 hours to accept or reject it through the Platform (section 7).
16.2 KarKar review. Where a Client rejects the work, the job is referred to KarKar support. A KarKar specialist reviews the job — including the Platform chat, the offer, and what each side says — and decides one of exactly two outcomes:(a) the Technician is paid in full; or(b) the Client is refunded in full.
There is no partial outcome. There is no appeal within the Platform, and no second review.
16.3 Timing — what KarKar promises, and what it does not. KarKar will respond to a rejected job within three (3) business days. Responding means acknowledging the case and beginning to work it.
KarKar does not commit to resolving a dispute within any period. While the case is being worked, KarKar holds the money and does not pay the Technician. There is no automatic resolution timer in either direction: a case does not lapse in the Client's favour, and it does not lapse in the Technician's favour, if nobody acts.
16.4 KarKar's role and its interest. KarKar makes this decision in good faith on the information available to it. KarKar is not a neutral arbitrator, and it has a financial interest in the outcome: KarKar earns its commission where the Technician is paid, and earns nothing where the Client is refunded. This is disclosed so that neither party mistakes the process for an independent adjudication.
16.5 What the decision does and does not do. A decision under 16.2 determines only what happens to the money KarKar is holding. It does not determine either party's legal rights against the other, and it does not prevent either party from pursuing the other directly or from using section 17 against KarKar.
16.6 Evidence. The messages in the Platform chat, and the photographs and files shared in it, may be used as evidence when KarKar reviews a rejected job. KarKar will make that material available to both the Client and the Technician, so that neither is answering something they cannot see. Anything either party wants taken into account should be in the chat. Section 4 of the Privacy Policy describes how chat content is handled, including that it is machine-screened and that KarKar staff can read flagged messages.
16.6.1 The Platform requires neither side to submit anything today: a Technician can mark a job finished without uploading a photograph or a report, and there is no evidence step in the rejection flow. 16.6 settles what happens with the material that exists; it does not create an evidence requirement. See CHANGES.md, product dependency P10.
17. Disputes between you and KarKar
17.1 Informal resolution first. Before starting any formal proceeding, you and KarKar must attempt to resolve the dispute in good faith. The party raising the dispute must give the other written notice describing it and the relief sought, and must allow 30 days for a response.
17.2 Arbitration. If the dispute is not resolved under 17.1, it will be resolved by binding arbitration administered by the American Arbitration Association.
17.3 Class action waiver. All disputes must be brought individually, and not as a plaintiff or class member in any purported class, collective or representative proceeding.
17.4 Exceptions. KarKar may seek injunctive relief in court to protect its intellectual property or confidential information. Either party may bring an individual claim in small claims court if it qualifies.
17.5 Nothing in this section limits the operational process in section 16, and nothing in section 16 limits this section. The section 16 process is an internal business decision by KarKar about money it is holding. It is not arbitration, it is not neutral, and it does not satisfy or replace this section.
18. Indemnification
You agree to indemnify, defend and hold harmless KarKar Ops LLC, KarKar IP LLC, KarKar Holding Inc and their affiliates, officers, employees and agents from any claims, losses, liabilities, damages, costs or expenses (including reasonable legal fees) arising from:
- your use of the Platform;
- your violation of this Agreement or any applicable law; or
- any service provided or received through the Platform.
Technicians have additional, more specific indemnity obligations under clause 12 of the Technician Agreement.
19. Disclaimer of warranties
19.1 THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, KARKAR DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
19.2 KARKAR DOES NOT WARRANT THE QUALITY, SAFETY, TIMELINESS OR LEGALITY OF ANY SERVICE PERFORMED BY A TECHNICIAN, AND DOES NOT WARRANT ANY TECHNICIAN'S SKILL, LICENSING, INSURANCE OR BACKGROUND.
19.3 Nothing in this section excludes any warranty or right that cannot be excluded under applicable law.
20. Limitation of liability
20.1 To the fullest extent permitted by law, KarKar Ops LLC and its affiliates are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost data or loss of goodwill.
20.2 KarKar's total liability to any User for all claims arising out of or relating to this Agreement or the Platform shall not exceed the greater of $100 or the total amount that User paid to KarKar in the six (6) months before the event giving rise to the claim.
20.3 Nothing in this section limits liability that cannot be limited under applicable law.
21. Governing law and forum
This Agreement is governed by the laws of the State of Delaware. The courts located in Kent County, Delaware have exclusive jurisdiction over matters not subject to arbitration.
22. Suspension and termination
22.1 You may stop using the Platform at any time and ask us to close your account.
22.2 KarKar may suspend or terminate any account, with or without notice, for a violation of this Agreement, of any incorporated policy, or of the law, or where KarKar reasonably suspects fraud or a risk to another User's safety.
22.3 Termination does not affect a booking already in progress. Bookings that are live when an account is closed must be completed, or cancelled through the Platform so that the Client's money is released or refunded.
22.4 Sections listed in 24.2 survive termination.
22.5 Technicians: clause 14 of the Technician Agreement governs suspension and termination of your relationship with KarKar. Either side may terminate that agreement for convenience on 30 days' written notice, and jobs already live must be completed or cancelled through the Platform before the notice period ends. That is separate from the immediate-suspension grounds in clause 14.3 — including fraud and risk to a Client's safety — which remain available without notice and are not delayed by any cure period.
23. Changes to these terms
23.1 KarKar may amend this Agreement. Changes take effect when posted, unless the change is material.
23.2 KarKar will give Users 30 days' notice of a material change before it takes effect. Continued use of the Platform after a change takes effect signifies acceptance. The equivalent notice period for the Technician Agreement is in clause 16.4 of that agreement, and is also 30 days.
23.3 A change to the commission schedule is governed by 9.7, and does not affect a job whose payment has already been authorised.
24. General
24.1 Entire agreement. This Agreement, together with the Privacy Policy, the Refund and Cancellation Policy, the SMS Terms and (for Technicians) the Technician Agreement, is the entire agreement between you and KarKar about your use of the Platform, and replaces any earlier understanding.
24.2 Survival. Sections 3 (platform role), 9.10 and 9.11 (recovery and reduced payouts), 10 (non-circumvention), 13 (intellectual property), 14 (user content licence), 15 (taxes), 18 (indemnification), 19 (disclaimer), 20 (limitation of liability), 16 and 17 (disputes), 21 (governing law) and this section 24 continue to apply after your account is closed or this Agreement ends.
24.3 Assignment. You may not transfer your rights or obligations under this Agreement without KarKar's written consent. KarKar may transfer this Agreement to an affiliate, or in connection with a merger, acquisition or sale of assets, on notice to you.
24.4 Force majeure. Neither party is liable for failing to perform because of something outside its reasonable control, including natural disaster, fire, flood, war, civil unrest, epidemic, government action, labour dispute, failure of the internet, or failure of a third-party service or payment processor KarKar depends on. This does not excuse an obligation to pay money that is already due.
24.5 Notices. KarKar sends notices to the email address on your account, or by a message inside the Platform. A notice is effective when sent. You send notices to KarKar at KarKar Ops LLC, 4615 Arriba Dr, Tarzana, CA 91356, USA, and by email to info@kar-kar.com. Keep your contact details current: a notice sent to an out-of-date address you gave us is still effective.
24.6 Severability. If any provision of this Agreement is held unenforceable, it is modified to the minimum extent necessary to make it enforceable, or, if it cannot be, severed. The rest of the Agreement continues in force.
24.7 No waiver. If KarKar does not enforce a provision immediately, it has not given up the right to enforce it later.
24.8 No third-party beneficiaries. This Agreement is for the benefit of you and KarKar only. No other person has any right to enforce it. The same is true of the Technician Agreement: a Client is not a third-party beneficiary of it and cannot enforce a Technician's obligations under it, including those about workmanship, the standard warranty in 3.6 and damage to a vehicle. A Client's remedies are against the Technician directly, plus the money-handling protections in sections 6, 7, 8 and 16 of this Agreement.
24.9 Relationship of the parties. Technicians are independent contractors. Nothing in this Agreement creates an employment, partnership, joint venture or agency relationship between KarKar and any User. Clause 1 of the Technician Agreement, and the note to it, deal with this in detail.
24.10 Headings. Headings are for convenience and do not affect interpretation.
24.11 Language. This Agreement is in English. Any translation is provided for convenience only, and the English version governs.
